By accessing or using Wingspan ("the Service"), operated by Wingspan LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance.
Wingspan is a software tool that provides statistical analysis, backtesting models, and educational information related to SPX 0DTE (zero days to expiration) options strategies. The Service generates strategy parameters, position suggestions, and performance analytics based on mathematical models and historical data.
The Service does not execute trades, manage accounts, or have access to your brokerage account. All trading decisions are made solely by you through your own brokerage platform.
Wingspan is not a registered investment adviser, broker-dealer, or financial planner. Nothing provided by the Service constitutes investment advice, financial advice, trading advice, or any other sort of professional advice. The information and tools provided are for educational and informational purposes only.
You should consult with a qualified financial professional before making any investment decisions. We do not recommend, endorse, or suggest any specific trades, securities, or investment strategies. Any strategy parameters generated by the Service are the output of statistical models and should not be interpreted as personalized recommendations.
By using the Service, you acknowledge and agree that:
a) Options trading involves substantial risk of loss and is not suitable for all investors. You may lose your entire investment and potentially more than your initial investment in some strategies.
b) 0DTE (zero days to expiration) options are highly speculative instruments with unique risks including rapid time decay, extreme price sensitivity, and liquidity constraints.
c) Past performance, whether actual or backtested, does not guarantee future results. Backtested performance is hypothetical and has inherent limitations (see Risk Disclosures).
d) You are solely responsible for your own investment decisions, risk management, and any resulting gains or losses.
e) You have sufficient knowledge, experience, and financial resources to evaluate the risks of options trading and to bear potential losses.
Access to certain features requires a paid subscription. Subscriptions are billed monthly through Stripe. By subscribing, you authorize recurring charges at the then-current rate. You may cancel at any time through your account settings or Stripe customer portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. We reserve the right to change pricing with 30 days' notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
a) The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
b) In no event shall Wingspan LLC, its officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of opportunity, trading losses, or other intangible losses, arising out of or in connection with your use of the Service.
c) Our total aggregate liability to you for all claims arising from your use of the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
d) We are not liable for any trading losses you incur, whether or not such trades were informed by, inspired by, or based on information provided by the Service.
You agree to indemnify, defend, and hold harmless Wingspan LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading activities, your violation of these Terms, or your violation of any rights of a third party.
All content, algorithms, models, software, designs, and materials within the Service are the proprietary property of Wingspan LLC and are protected by copyright, trade secret, and other intellectual property laws. You may not copy, reverse engineer, decompile, redistribute, or create derivative works from any part of the Service without our prior written consent.
You agree not to: (a) share your account credentials or subscription access with third parties; (b) scrape, automate, or programmatically access the Service beyond normal browser use without permission; (c) use the Service for any unlawful purpose; (d) attempt to reverse engineer the proprietary algorithms; (e) redistribute or resell the Service's output commercially.
While we strive for accuracy, we do not warrant that the data, calculations, backtest results, or strategy outputs provided by the Service are error-free, complete, or current. Market data may be delayed, modeled, or estimated. You should independently verify all information before making trading decisions.
We do not guarantee uninterrupted or error-free access to the Service. We may modify, suspend, or discontinue any part of the Service at any time without notice. We are not liable for any loss or damage resulting from service interruptions, outages, or discontinuation.
We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and Risk Disclosures, constitute the entire agreement between you and Wingspan LLC regarding your use of the Service.
